  • Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

  • Interfering with or disrupting the operation of the Platform or the servers or networks used to make the Platform available.

  • Attempting to gain unauthorized access to any portion of the Platform or any other accounts, computer systems, or networks connected to the Platform.

  • Using any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission.

  • Engaging in any conduct that could damage, disable, overburden, or impair the Platform.

  • You also agree, that Asquare international may contact you, as per the TRAI rules and guidance.

• User Content: You may be permitted to submit, upload, publish, or otherwise make available content, including product reviews, comments, and other materials ("User Content"). You retain ownership of your User Content. However, by submitting User Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you have all necessary rights to grant us this license and that your User Content does not violate any third-party rights. We have the right to remove or refuse to post any User Content for any reason.

• Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal, non-commercial purposes, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally and ordinarily permitted through the Platform according to these Terms.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PLATFORM, ITS CONTENT, AND ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE PLATFORM, INCLUDING ANY WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT THAT THE PRODUCT DESCRIPTIONS OR OTHER CONTENT AVAILABLE ON THE PLATFORM ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL A SQUARE INTERNATIONAL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM, ANY CONTENT OR PRODUCTS OBTAINED FROM OR THROUGH THE PLATFORM, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, ITS CONTENT, PRODUCTS, OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR [Specify a nominal amount, e.g., INR 1000], WHICHEVER IS LESS.

10. Indemnification

You agree to indemnify, defend, and hold harmless A Square International, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

11. Governing Law and Dispute Resolution

• Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.

• Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be submitted to binding arbitration in New Delhi, India, in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties. If the parties fail to agree on an arbitrator within thirty (30) days of the commencement of arbitration, the arbitrator shall be appointed by the Delhi International Arbitration Centre (DIAC). The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on the parties.

• Jurisdiction: Notwithstanding the foregoing, we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.

12. Termination

We may terminate or suspend your access to all or any part of the Platform at any time, with or without cause, and without prior notice or liability. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be reformed to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

14. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of A Square International. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and A Square International with respect to the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
